Overview:
The Corporate Counsel is responsible for providing legal advice and support to the organization on corporate, commercial, and operational matters. This role requires a strong understanding of business law and corporate governance principles, as well as excellent analytical, communication, and negotiation skills. The Corporate Counsel will work closely with internal stakeholders to ensure compliance with legal requirements and mitigate legal risks.
Responsibilities:
1. Provide legal advice and guidance to the organization's management and various departments on corporate and commercial matters.
2. Draft, review, and negotiate a wide range of legal documents, including contracts, agreements, and legal correspondence.
3. Assist in the development and implementation of corporate policies, procedures, and compliance programs to ensure adherence to legal and regulatory requirements.
4. Conduct legal research and analysis on relevant laws, regulations, and industry best practices to provide accurate and up-to-date legal advice.
5. Advise on intellectual property matters, including trademark and copyright issues, and assist in the protection of the organization's intellectual property rights.
6. Collaborate with external legal counsel, as needed, and manage relationships with external legal service providers.
7. Assist in the management of litigation and dispute resolution processes, including the preparation of legal strategies, documentation, and representation as required.
8. Stay informed of changes in laws and regulations that may affect the organization's operations and proactively advise management on potential legal risks and implications.
9. Conduct legal training sessions and provide guidance to employees on legal matters and compliance requirements.
10. Maintain accurate and organized legal records, files, and documentation.
Qualifications:
1. Juris Doctor (J.D.) degree from an accredited law school.
2. Admission to the bar and in good standing with the relevant state bar association.
3. Minimum of X years of experience as a practicing attorney, preferably within a law firm or corporate legal department.
4. Strong knowledge of corporate law, contract law, and commercial transactions.
5. Familiarity with intellectual property law and experience in managing intellectual property matters.
6. Excellent analytical, problem-solving, and decision-making skills.
7. Exceptional written and verbal communication skills, with the ability to effectively communicate complex legal concepts to non-legal stakeholders.
8. Strong negotiation and interpersonal skills, with the ability to build positive relationships with internal and external stakeholders.
9. Ability to work independently, prioritize tasks, and manage multiple projects simultaneously in a fast-paced environment.
10. High level of integrity, professionalism, and commitment to maintaining strict confidentiality.
11. Proficiency in legal research tools and technology.
12. Knowledge of relevant laws and regulations within the jurisdiction of operation.
13. Strong attention to detail and organizational skills.
